1. Agreement and Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of VitalPeak’s websites, applications, software, communications, and related non-clinical services (collectively, the “Service”), owned or operated by VitalPeak, Inc. (“VitalPeak,” “Company,” “we,” “us,” or “our”).

By accessing or using the Service, clicking “accept,” or creating an account, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any applicable Notice of Privacy Practices provided by affiliated medical providers.

If you do not agree to these Terms, you may not use the Service.

The Service is intended only for individuals 18 years of age or older and located in the United States.

2. Telehealth Services & Medical Disclaimer

VitalPeak does not provide medical advice or medical care.

VitalPeak operates a technology platform that enables users to connect with independent, licensed healthcare providers (“Providers”) who are affiliated with or contracted through independent medical groups.

  • Providers are not employees or agents of VitalPeak

  • Medical decisions are made solely by Providers

  • The patient-provider relationship exists only between you and your Provider

VitalPeak does not endorse any specific Provider, medication, treatment, or pharmacy.

The content on the Site is for general informational purposes only and does not constitute medical advice, diagnosis, or treatment.

The Service is not for emergencies. If you believe you are experiencing a medical emergency, call 911 immediately.

3. Risks of Telehealth

By using the Service, you acknowledge and accept the risks associated with telehealth, including but not limited to:

  • Delays due to technology failures

  • Limited access to complete medical records

  • Image or data quality limitations

  • Potential privacy risks associated with electronic communications, including text messages

You consent to receiving communications through electronic means, including methods that may be less secure.

4. Prescriptions

  • There is no guarantee that a Provider will prescribe medication

  • Providers exercise independent clinical judgment

  • Controlled substances are not prescribed

  • Prescriptions are for personal use only

  • You may choose your pharmacy unless restricted by law

You agree to read all medication information and consult a Provider or pharmacist with questions.

5. Not Insurance

VitalPeak is not an insurance provider. Fees paid are not insurance premiums, and the Service does not replace health insurance.

6. Availability & Eligibility

The Service is available only in certain U.S. states and only to users legally eligible to receive telehealth services.

You represent that:

  • You are located in a state where the Service is offered

  • You are not barred from receiving healthcare services under U.S. law

Use outside the United States is prohibited.

7. Payments, Subscriptions & Billing

Payments

You agree to pay all fees associated with the Service. Payments are processed through third-party payment processors. VitalPeak does not store credit card information.

Subscriptions

  • Subscriptions renew automatically unless canceled before the renewal date

  • You may cancel via your account or by contacting support

  • Price changes apply to future billing periods and will be communicated in advance

Failure to pay may result in suspension or termination of access.

8. Orders, Shipping & Returns

  • Orders are subject to acceptance

  • Shipping dates may vary

  • Risk of loss transfers upon delivery to the carrier

  • Returns are governed by our posted Return Policy

We reserve the right to cancel orders due to pricing errors or availability.

9. Account Responsibilities

You are responsible for:

  • Maintaining accurate account information

  • Safeguarding your login credentials

  • All activity occurring under your account

You must notify us immediately of unauthorized access.

10. Prohibited Use

You may not:

  • Violate any law or regulation

  • Misrepresent your identity

  • Upload harmful, fraudulent, or infringing content

  • Interfere with the Service’s security

  • Scrape, reverse engineer, or automate access to the Service

Violations may result in termination and legal action.

11. Communications & Text Messages

By providing your contact information, you consent to receive emails, calls, and text messages related to your care, account, refills, and reminders.

  • Message & data rates may apply

  • You may opt out of texts at any time by replying STOP

  • Opting out may limit important service communications

12. Intellectual Property

All content on the Service—including text, graphics, software, trademarks, and design—is owned by VitalPeak or its licensors and protected by intellectual property laws.

You may not copy, modify, distribute, or use content without written permission.

13. User Content

If you submit reviews or other content:

  • You grant VitalPeak a perpetual, royalty-free license to use it

  • You are responsible for its accuracy and legality

  • Content may remain even after account termination

14. Third-Party Links

The Service may link to third-party websites. VitalPeak is not responsible for their content, accuracy, or privacy practices.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

We do not guarantee uninterrupted access, error-free operation, or specific outcomes.

16. Limitation of Liability

To the fullest extent permitted by law:

  • VitalPeak is not liable for indirect, incidental, or consequential damages

  • Our total liability will not exceed the amount you paid to VitalPeak

Some jurisdictions do not allow certain limitations, so parts may not apply to you.

17. Indemnification

You agree to indemnify and hold harmless VitalPeak, Providers, and affiliates from claims arising from:

  • Your use of the Service

  • Your violation of these Terms

  • Your submitted content

18. Arbitration & Class Action Waiver

Any dispute arising from these Terms or the Service will be resolved by binding arbitration, governed by the Federal Arbitration Act.

  • No jury trials

  • No class actions

  • Arbitration administered by the American Arbitration Association (AAA)

This provision survives termination.

19. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

20. Changes to Terms

We may update these Terms at any time. Continued use of the Service after updates constitutes acceptance.
